01Acceptance of Terms

By accessing or using BitRegex websites, communications, or services, you agree to these Terms of Service. If you do not agree, you must not use our services.

02Service Scope and Contract Hierarchy

These Terms apply to general use of our website and baseline service relationship. Specific paid engagements may be governed by an MSA, SOW, proposal, or other written agreement.

If there is a conflict, the signed service agreement controls for that engagement.

03Authorized and Lawful Use

You may use our services only for lawful and authorized security purposes. You are responsible for ensuring you have valid permission to request testing of any systems, networks, applications, or data.

04Prohibited Conduct

You agree not to:

• Use our services for illegal, harmful, or abusive activity.
• Misrepresent authorization or ownership of target systems.
• Interfere with service operation, security controls, or network integrity.
• Copy, reverse engineer, or exploit proprietary materials except as permitted by law or written agreement.

05Fees and Payment

Fees, payment terms, and any taxes for paid services are defined in the applicable proposal, order form, or SOW.

Unless otherwise agreed in writing, fees are non-refundable once work has started.

06Intellectual Property

We retain ownership of our pre-existing intellectual property, methodologies, tools, and know-how.

Client deliverables are licensed or assigned only as expressly stated in the governing engagement agreement.

07Confidentiality

Each party must protect confidential information received from the other party and use it only for authorized business purposes.

Confidentiality obligations are subject to legal disclosure requirements and exceptions for independently developed or publicly available information.

08Disclaimers

Except as expressly set out in a written agreement, services and website content are provided "as is" and "as available."

To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

09Limitation of Liability

To the maximum extent permitted by law, BitRegex will not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption.

Where liability cannot be excluded, total liability will be limited to the amounts paid for the specific service giving rise to the claim during the 12 months before the event, unless a written agreement states otherwise.

10Indemnification

You agree to defend, indemnify, and hold harmless BitRegex and its affiliates, officers, and personnel from claims arising out of your misuse of the services, breach of these Terms, or lack of authorization to test target assets.

11Suspension and Termination

We may suspend or terminate access if we reasonably believe there is unlawful activity, abuse, security risk, or material breach of these Terms or any applicable agreement.

12Governing Law and Disputes

Governing law and venue for paid engagements are determined by the executed contract for that engagement.

For website-only use where no separate contract exists, disputes will be governed by applicable law in the jurisdiction where the BitRegex contracting entity is established, excluding conflict of laws rules.

13Changes to These Terms

We may update these Terms from time to time. Updates become effective when posted on this page unless otherwise stated.
